A director can act alone in this capacity or can act as part of a board of directors. Their powers, duties and authorities are controlled by the company’s articles of association, and also by the Companies Act 2006. The director(s) are ultimately responsible to the shareholders who have the power to remove directors, but directors must also be wary that if they act outside their power and controls then they could also be held personally responsible. The best example of this is if the director(s) allow the company to continue to trade whilst being technically insolvent. |
